Insure Telematics, LLC — Geotab Authorized Reseller

Please read these Terms & Conditions carefully before purchasing or activating any products or services from Insure Telematics. By placing an order, accepting a quote, or activating service, you (“Customer”) agree to be bound by the following terms. These Terms apply to all hardware, software, and subscription services resold by Insure Telematics (“Reseller”) and govern the relationship between Customer and Reseller. If you do not agree to these Terms, please do not proceed with your purchase.

1. Agreement to Terms

By accepting a quote, Customer agrees to Insure Telematics’ full Terms & Conditions at www.insuretelematics.io/terms, including the Geotab End User Agreement and all applicable Geotab legal agreements at www.geotab.com/legal. OPEX subscriptions carry a 36-month non-cancellable term with a $300.00/device Early Termination Fee. Service auto-renews month-to-month with 30 days written notice required to cancel. Reseller liability is limited to amounts paid in the preceding 12 months. This Agreement is governed by the laws of the State of Wyoming.

2. Geotab EULA and Service Terms

Customer’s use of the Geotab hardware and software is strictly governed by the Geotab End User Agreement and applicable service terms. All governing agreements are available at www.geotab.com/legal, including the End User Agreement, Third-Party Provider Terms, Video Device Terms, and Marketplace Partner Terms, as applicable. Customer acknowledges they have read, understood, and agree to be bound by those terms. Reseller is an independent contractor and not an agent or partner of Geotab. Reseller provides no warranty regarding the uptime, functionality, or data accuracy of Geotab services.

3. Third-Party Marketplace Products

For any hardware or software purchased through the Geotab Marketplace or “Order Now” portal (“Marketplace Products”), Customer acknowledges that these products are manufactured and supported by third-party vendors. Reseller provides all Marketplace Products “AS IS” without warranty of any kind. Reseller shall have no liability for defects, delays in shipping, or performance failures of Marketplace Products. Customer’s sole recourse for issues related to these products is directly with the respective third-party manufacturer.

4. Limitation of Liability

To the maximum extent permitted by law, Reseller’s total aggregate liability for any claim arising out of or related to this Agreement—whether in contract, tort, or otherwise—shall not exceed the total amount paid by Customer to Reseller in the twelve (12) months preceding the claim. In no event shall Reseller be liable for any indirect, incidental, special, or consequential damages, including but not limited to loss of profits, data, or business interruption, even if advised of the possibility of such damages.

5. OPEX Service Term

For products purchased under an OPEX (Operating Expenditure) model, Customer commits to a minimum non-cancellable service term of thirty-six (36) months from the date of activation. Following the initial term, service will continue on a month-to-month basis until either party provides thirty (30) days written notice of cancellation.

6. Early Termination

If Customer terminates service prior to the expiration of the 36-month term, or if Reseller terminates service due to Customer’s material breach (e.g., non-payment), Customer agrees to pay a liquidated damages fee (the “Early Termination Fee”) of $300.00 per device. Customer acknowledges that this fee is a reasonable estimate of Reseller’s anticipated damages and is not a penalty.

7. Governing Law

This Agreement shall be governed by the laws of the State of Wyoming, without regard to its conflict of law provisions.
